Register of Directors’ Interests

The Directors’ Code of Conduct for CVRL requires all Directors to declare any interests relevant to their position on the Board of CVRL.

Directors are required to ensure that any changes of circumstances relating to disclosure of interests are notified to the Board as soon as practically possible, and are required to confirm, or reconfirm, as appropriate, that their entry in the Register of Interests is complete and accurate, on January 1st each year or when they are appointed or reappointed to the Board.

Directors are required to disclose any interests that fall in any of the following categories:

Remunerated Directorships

Directors are required to disclose to the Board any directorships, remunerated or otherwise, in companies or organisations which in any way relate to the Director’s membership of the Board of CVRL. Directors are also required to register directorships, remunerated or otherwise, in companies or organisations which are associated with or are subsidiaries of companies or organisations which in any way relate to the Director’s membership of the Board of CVRL. 

Remunerated employment, office etc.

Directors are required to disclose to the Board any employment or sources of remuneration not clearly covered elsewhere in the Code of Conduct which in any way relate to the Director’s membership of the Board of CVRL. This includes membership and active roles within organisations whose activities in any way relate to the Director’s membership of the Board of CVRL.

Clients

Directors are required to disclose to the Board the names of clients (other than companies or organisations for whom they provide services which arise out of their work as a CVRL Director. For example, this may include but is not limited to disclosure of paid consultancy to individuals or paid consultancy for support with complaints.

Sponsorship or Financial or Material Support

Directors are required to disclose to the Board:

(a) any donation of more than £50 received by a Director or an organisation to which they are linked, which is linked either to Board candidacy at an election or to Directorship; and

(b) any other form of financial or material support received during their term as a Director other than their primary employment. This includes any regular donation in excess of £500 per year made by an organisation or company to a Director personally, or to an organisation to which they are linked. This provision shall exclude research agreements and other arrangements in which the identity of the Board Member is not a factor.

Gifts, benefits and hospitality

Directors are required to disclose to the Board any gift or material advantage over £50 in value received by the Director or the Director’s spouse, partner or civil partner from any source, which in any way relates to membership of the Directors of CVRL. Tangible gifts and other benefits over £50 in value must be disclosed to the Board.

Overseas Visits

Directors are required to disclose to the Board any overseas visits made by Directors or their spouses, partners or civil partners which relate to or arise out of membership of the Board of CVRL, where the cost of any such visit has not been wholly borne by the Director or by United Kingdom public funds.

Several categories of visit are exempted from registration. These include:

  • Visits paid for by, or undertaken on behalf of, the Government or an international organisation to which the CVRL belongs

  • Visits with or on behalf of a CVRL Committee

  • Visits undertaken under the auspices of recognised international bodies

Registrable Shareholdings

Directors are required each year to disclose to the Board any beneficial interest in a shareholding of any sort in any company, activity or other body which they may have held at the preceding 5th April, which in any way relates to membership of the Directors of CVRL.

This requirement extends to holdings in which the interest is held with or on behalf of the Director’s spouse, partner, civil partner or dependent children.

Miscellaneous and Unremunerated Interests

Directors are required to disclose to the Board any interests which do not clearly fall within any of the above categories, but which in any way relates to membership of the Directors of CVRL.
